Terms of Service
The agreement governing your use of Offloda.ai.

These Terms of Service (“Terms”) are a legal agreement between you and Offloda Labs Inc. (“Offloda”, “we”, “us”, or “our”) governing your access to and use of Offloda.ai and related services (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.
1. The Service
Offloda is a multi-tenant, white-label marketing operations platform for agencies: monthly reporting, ad copy, SEO/GEO intelligence, live dashboards, connected-platform automation, and related tools. We may add, change, or remove features at any time.
2. Eligibility & accounts
The Service is business-to-business and currently invite-only. You must provide accurate account information, keep your credentials secure, and are responsible for all activity under your account. You must be at least 18 years old and legally able to enter into these Terms. Notify us promptly of any unauthorized use.
3. Agency and client roles
Agencies may invite team members (owners, managers, operators) and brand-client users, and configure white-label branding. The agency is responsible for its users, for the data it uploads or connects, and for its own agreements with, and privacy disclosures to, its clients and end-customers. Offloda provides the platform; the agency is responsible for how it uses it.
4. Subscriptions, billing & taxes
- Paid plans are billed through Stripe on a recurring basis (monthly unless stated otherwise) and are metered by the number of brands, agency seats, and client seats, plus any optional add-ons (such as the API connector).
- Fees are charged in advance and, except where required by law, are non-refundable. Changing your plan may result in prorated charges or credits.
- You authorize us and Stripe to charge your payment method for all fees due. Prices are exclusive of taxes, which you are responsible for.
- You may cancel at any time via the billing portal; cancellation takes effect at the end of the current billing period and does not entitle you to a refund of fees already paid.
5. Acceptable use
You agree not to:
- Use the Service unlawfully or in violation of any third-party rights or platform policies.
- Reverse-engineer, resell (outside the intended white-label use), or attempt to gain unauthorized access to the Service or its data.
- Upload malware, attempt to disrupt the Service, or exceed applicable rate limits or quotas.
- Use the Service to send spam or to violate the advertising policies of any connected platform.
6. Third-party platforms
The Service connects to third-party platforms (e.g. Google, Meta, TikTok, Reddit, OpenAI, and their advertising and analytics APIs) at your direction. Your use of those platforms is governed by their own terms and policies, and you are responsible for maintaining the necessary rights, permissions, and compliance for the accounts you connect. We are not responsible for third-party platforms, and their availability or changes may affect the Service.
7. Your content & data
You retain all rights to the data and content you provide or connect (“Your Content”). You grant Offloda a limited license to host, process, and transmit Your Content solely to provide and improve the Service. You are responsible for the legality of Your Content and for having the rights to use it. Our handling of personal information is described in our Privacy Policy.
8. Intellectual property
The Service, including its software, design, and trademarks, is owned by Offloda Labs Inc. and its licensors and is protected by law. Except for the rights expressly granted to you, we reserve all rights. “Offloda” and the Offloda logo are our trademarks; the white-label features let agencies present the platform under their own brand, but do not transfer ownership of the underlying Service.
9. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated output, analyses, or recommendations will be accurate or suitable for your purposes. You are responsible for reviewing outputs before relying on them.
10. Limitation of liability
To the maximum extent permitted by law, Offloda and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Offloda Labs Inc. from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, your violation of these Terms, or your violation of any law or third-party right (including any claim brought by your clients or the third-party platforms you connect).
12. Suspension & termination
We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that creates risk or legal exposure. You may stop using the Service at any time. Upon termination, your right to use the Service ends; provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
13. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute arising out of or relating to these Terms or the Service.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above and, where appropriate, by notifying you. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
